On April 3, investors in tokens filed 11 class action lawsuits in New York federal court against token issuers and exchanges. The investors assert that the issuers and exchanges violated federal and state securities laws that bar the issuance of unregistered securities (absent an exemption) and other regulatory requirements. The cases, which strike at the heart of token issuance strategies, may presage a wave of private civil actions that try to leverage the recent regulatory successes in the Telegram case and the Block.one settlement. Our Crypto-Litigation Team will breakdown these in the webinar that will cover:
- The facts alleged and the claims asserted in the April 3rd actions
- Key defense strategies for defeating these new class actions
- Extraterritorial considerations
- The regulatory context around token issuances
